1. Agreement to Terms

By accessing or using Shindo ("the Service"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service. These terms apply to all gym owners, administrators, members, and visitors.

2. Description of Service

Shindo provides membership management, billing, scheduling, and attendance tracking software for independent gyms, fitness studios, and martial arts dojos. The Service includes web-based tools for gym administrators and member-facing portal features.

3. Account Registration

To use the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

4. Billing and Payments

Gym accounts are billed based on active member count. The base rate is $1.99 per active member per month, with a minimum monthly charge of $29.85. A maximum cap of 100 members applies to billing calculations. Payments are processed through Stripe. Gym owners are responsible for payment processing fees charged to their members.

All fees are exclusive of taxes, which are the responsibility of the gym owner where applicable.

5. Acceptable Use

You agree not to use the Service to: (a) violate any applicable law or regulation; (b) infringe the rights of any third party; (c) transmit harmful code or malware; (d) attempt to gain unauthorized access to any part of the Service; or (e) use the Service in any manner that could disable, overburden, or impair it.

6. Data and Privacy

Your use of the Service is also governed by our Privacy Policy. By using the Service, you consent to the collection, use, and sharing of your information as described in the Privacy Policy.

7. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Upon termination, your right to use the Service will immediately cease.

8. Limitation of Liability

To the maximum extent permitted by law, Shindo shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service.

9. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by email or through the Service. Your continued use after changes constitutes acceptance.
